Terms of Use

These Terms of Use (the “Terms”) govern your use of the RexWithYou mobile application for iOS and Android (the “App”), provided by Geo Track Technologies Inc (“we”, “our”, “us”).

By downloading, installing, or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the App.

Please read Section 4 (No Medical Advice) and Section 5 (AI Accuracy) carefully — they describe important limits of what the App can do. Section 18 contains a binding arbitration agreement and class-action waiver (with a 30-day opt-out) that affects your legal rights.

1. Acceptance of Terms

By installing or using the App, you confirm that you have read and agree to these Terms and our Privacy Policy, that you have the legal capacity to enter into this agreement, and that you meet the eligibility requirements in Section 2.

2. Eligibility

You may use the App only if:

You are 16 years of age or older.
You are not located in, or a resident of, a country or region subject to comprehensive trade sanctions (including the Russian Federation, Belarus, Iran, North Korea, Syria, Cuba, and the Crimea, Donetsk, and Luhansk regions).
You are not pregnant or nursing, and do not have a medical condition that could be affected by changes in diet or activity — or, if you are or do, you have consulted a healthcare provider first (see Section 4).

3. Description of Service

RexWithYou helps you:

Log meals by photo, voice, text, or barcode;
Track calories, macros, weight, water, and steps;
Receive AI-generated coaching messages from the Rex character;
Generate meal plans, recipes, and shopping lists.

You can create an account by signing in with Apple or Google to sync your data across devices and restore it if you reinstall. How account and synced data are handled is described in our Privacy Policy.

Rex is a fictional AI character. Its persona, tone, and opinions are produced by automated language models and do not reflect the views of Geo Track Technologies Inc. Rex’s responses are not professional advice of any kind.

4. No Medical or Professional Advice

RexWithYou is a self-tracking and informational tool. It is not a medical device and does not provide medical, nutritional, or healthcare advice. It does not diagnose, treat, cure, or prevent any condition, and is not cleared by the FDA, EMA, MHRA, TGA, or any other regulator.

Before starting any diet, weight-loss, or activity program based on the App:

Consult a qualified healthcare professional, especially if you are under 18, pregnant or nursing, or have diabetes, kidney disease, heart conditions, or any other medical condition.
If you have or are recovering from an eating disorder, do not use the App without the guidance of your treatment provider. Calorie tracking can intensify disordered eating. Resources: NEDA (US) 1-800-931-2237; Beat (UK) 0808 801 0677; Butterfly Foundation (AU) 1800 33 4673.

You use the App’s targets, plans, and coaching at your own risk.

5. AI Features & Accuracy

The App uses AI (via OpenAI) to estimate calories and macros from photos, transcribe voice, generate coaching replies, and build meal plans.

AI-generated calorie and macro estimates are approximations and may be inaccurate, often by a wide margin for prepared, mixed, or unfamiliar foods.
Do not rely on AI outputs for medical decisions, insulin dosing, allergen avoidance, or clinical nutrition.
Always verify ingredients and quantities yourself if you have allergies or dietary restrictions.
AI coaching messages from Rex are sarcastic by design and are not professional or psychological advice.

What we send to OpenAI, and how it is handled, is described in our Privacy Policy §5. OpenAI does not use your data to train its models.

6. License

We grant you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the App on a device you own or control, for your personal, non-commercial use, strictly in accordance with these Terms.

You may not:

License, sell, rent, lease, or distribute the App to any third party;
Copy, modify, reverse-engineer, decompile, or disassemble the App, except as permitted by law;
Use the App for any unlawful purpose or in violation of any third party’s rights;
Interfere with the App or place unreasonable load on the third-party APIs it relies on.

7. Your Content

You retain full ownership of the meal photos, voice recordings, meal descriptions, chat messages, and other content you submit (“Your Content”).

You grant us only a limited license to process Your Content to provide the Service to you — storing it on your device and in your account (synced via Firebase), and transmitting it to OpenAI for the AI feature you requested. We do not use Your Content to train AI models, sell it, or share it with advertisers. This license ends when you delete the content or your account.

You are responsible for ensuring Your Content does not infringe anyone’s rights or contain unlawful material.

8. Subscriptions

Core tracking features are free. AI features (chat, photo scan, voice, meal plans) and certain advanced views are part of the RexWithYou auto-renewing subscription. Subscription pricing is set per region by Apple and Google and shown on the App Store or Google Play paywall in your local currency before you confirm. You are not charged until you confirm.

Apple App Store

Payment will be charged to your Apple ID account at confirmation of purchase. The subscription automatically renews unless it is cancelled at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage and cancel subscriptions in your Apple ID Account Settings after purchase.

To cancel on iOS: Settings → [your name] → Subscriptions → RexWithYou.

Google Play

Payment will be charged to your Google Play account at confirmation of purchase. The subscription automatically renews unless cancelled at least 24 hours before the end of the current period via Google Play settings.

To cancel on Android: Google Play → profile → Payments and subscriptions → Subscriptions → RexWithYou.

A free trial, if offered, converts to a paid subscription unless cancelled at least 24 hours before it ends. Any unused portion of a free trial is forfeited on purchase.

9. Refunds

All purchases are processed by Apple or Google. Refund requests must be submitted to them directly:

We do not process refunds directly. This does not affect statutory consumer rights you may have under applicable law (for example, EU/UK cooling-off rights).

10. Prohibited Uses

You agree not to use the App to:

Violate any law or third-party right;
Reverse-engineer, scrape, or abuse the App or its AI quotas;
Submit unlawful, harmful, or infringing content;
Generate content that violates OpenAI’s Usage Policies;
Resell or commercially exploit the App.

11. Third-Party Services

The App uses OpenAI (AI features), Spoonacular (recipe data), and the Apple App Store and Google Play (distribution and payments). We are not responsible for the accuracy, availability, or practices of third-party services, and your use of them is subject to their own terms. See our Privacy Policy for how data is shared.

12. Intellectual Property

The App and its contents, features, branding, and the Rex character are owned by Geo Track Technologies Inc and protected by copyright, trademark, and other laws. You may not copy, modify, or distribute any part of the App without our written permission. Your Content remains yours (Section 7).

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP AND ALL CONTENT, AI OUTPUTS, RECIPES, AND MEAL PLANS ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the App will be error-free or uninterrupted, that AI estimates will be accurate, or that recipes and nutritional information will be free of errors or allergens. Some jurisdictions do not allow these exclusions; in those, our disclaimers apply to the maximum extent permitted, and your mandatory statutory rights remain.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GEO TRACK TECHNOLOGIES INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA OR PROFITS, OR FOR ANY ADVERSE HEALTH OUTCOME ARISING FROM YOUR USE OF THE APP, EVEN IF ADVISED OF THE POSSIBILITY.

Our total liability for any claim relating to the App will not exceed the greater of (a) USD 100, or (b) the amount you paid us for the subscription in the 12 months before the claim. Nothing here excludes liability that cannot lawfully be excluded (such as for death or personal injury caused by our negligence, or fraud).

15. Indemnification

You agree to indemnify and hold Geo Track Technologies Inc harmless from any claims, damages, or expenses arising from your use or misuse of the App, your violation of these Terms, or any health or dietary decision you make based on the App.

16. Termination

You may stop using the App at any time by uninstalling it, and you can delete your account and synced data via Settings → Account → Delete Account (cancel any active subscription separately through Apple or Google). We may suspend or terminate your access at any time for conduct that violates these Terms. Upon termination, the license in Section 6 ends and you must stop using the App.

17. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. If you are a consumer in the EU, UK, or another jurisdiction whose law grants you mandatory rights, those rights and the jurisdiction of your place of residence continue to apply.

18. Dispute Resolution — Arbitration & Class-Action Waiver

Please read this section carefully. It affects how disputes between you and us are resolved and limits your rights to bring a lawsuit.

Informal resolution first. Before starting any formal proceeding, you agree to contact us at support@rexwithyou.com with a description of the dispute and to attempt to resolve it in good faith for at least 30 days.

Binding arbitration. If we cannot resolve a dispute informally, you and Geo Track Technologies Inc agree that any dispute arising out of or relating to these Terms or the App will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. Arbitration will take place in Delaware or, at your election, by phone or video, and may be conducted in English.

CLASS-ACTION WAIVER. YOU AND GEO TRACK TECHNOLOGIES INC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

30-day opt-out. You may opt out of this arbitration agreement and class-action waiver by emailing support@rexwithyou.com within 30 days of first accepting these Terms, with the subject line “Arbitration Opt-Out” and stating your decision to opt out. Opting out does not affect any other part of these Terms.

Exceptions. This section does not apply to: (a) claims that qualify for small-claims court, brought individually; (b) claims for injunctive or equitable relief regarding intellectual-property rights; and (c) consumers in the EU, UK, or other jurisdictions where pre-dispute arbitration agreements or class-action waivers are not enforceable — those users retain the rights and courts of their place of residence (see Section 17).

19. Apple & Google Terms

These Terms are between you and Geo Track Technologies Inc only, not Apple or Google. Apple and Google are not responsible for the App or its content. On iOS, Apple is a third-party beneficiary of these Terms and may enforce them; you must comply with the Apple Media Services Terms and applicable Usage Rules. You confirm you are not on any government restricted-parties list and not in an embargoed country.

20. Geographic Availability

The App is offered only where published on the App Store and Google Play. It is not offered in the Russian Federation or other comprehensively sanctioned jurisdictions. You are responsible for ensuring your use complies with local law.

21. Changes & Contact

We may modify these Terms at any time. For material changes we will notify you in-App; continued use after they take effect constitutes acceptance. If any provision is unenforceable, the rest remain in effect.
